These Terms of Engagement ("Terms") govern all services provided by Saferoom & Bunker Co. Ltd to its clients. By submitting an enquiry or entering into a formal agreement with us, you agree to these Terms.
These Terms are supplemented by any project-specific Letter of Engagement, which prevails in the event of conflict.
"Company" means Saferoom & Bunker Co. Ltd, a New Zealand–registered company.
"Client" means the individual or entity that has engaged the Company under a formal agreement.
"Plans" means the Company's engineer-certified architectural and structural drawings, specifications, and associated documentation.
"Engagement" means the formal contractual relationship commenced upon execution of a Letter of Engagement or equivalent agreement.
The Company offers three distinct service tiers. The scope of each engagement is defined in the corresponding Letter of Engagement and governed by the tier-specific terms set out below.
No engagement is created by the submission of an enquiry, exchange of correspondence, or payment of a retainer deposit alone. An engagement commences only upon execution of a signed Letter of Engagement by both parties.
Under a Tier I engagement, the Company grants the Client a non-exclusive, non-transferable licence to use specified Plans for a single construction project at a single nominated site.
Licence Scope
Engineer Certification
Plans are certified by a New Zealand registered structural engineer. The Client is responsible for obtaining any additional local engineering certifications, building consents, or permits required in their jurisdiction. The Company's certification does not constitute approval by any foreign authority.
Support
Tier I engagements include twelve (12) months of email-based technical support for questions arising from the interpretation and implementation of the Plans.
Under a Tier II engagement, the Company manages the full construction of the Client's bunker at the Client's nominated site. The scope includes site assessment, civil works, structural construction, mechanical and electrical fitout, and commissioning.
Client Obligations
Programme
Construction programmes are indicative and may vary due to site conditions, regulatory requirements, material lead times, or force majeure events. The Company will provide updated programme milestones at each project phase gate.
Variations
Any changes to the agreed scope of works must be authorised in writing by the Client before the Company proceeds. Variations may affect the contract price and programme.
Under a Tier III engagement, the Company provides an end-to-end service encompassing property identification, legal acquisition, and full construction. Legal services in connection with property acquisition are provided by a solicitor registered with the New Zealand Law Society, practising within the applicable regulatory framework.
Property Search & Assessment
Overseas Investment Office (OIO) Compliance
The acquisition of New Zealand rural or sensitive land by overseas persons is subject to the Overseas Investment Act 2005. The Company's solicitor will advise the Client on consent requirements and manage the application process where required. OIO consent is not guaranteed; timeline and outcome are subject to regulatory determination.
Legal Services Disclaimer
Legal services provided under Tier III engagements are subject to the rules of conduct of the New Zealand Law Society. The solicitor–client relationship commences only upon execution of a separate retainer agreement. These Terms do not constitute legal advice.
Title Transfer & Handover
The Client takes freehold title to the land upon settlement. Construction commences following settlement and completion of any required consents. The Client receives a commissioned, tested facility at practical completion.
Fees and payment schedules are set out in the Letter of Engagement. General conditions:
All Plans, drawings, specifications, calculations, and related documentation remain the sole intellectual property of Saferoom & Bunker Co. Ltd at all times, regardless of whether they have been provided to the Client.
The Client receives a licence to use the Plans as defined by their engagement tier. No assignment of intellectual property rights is made or implied.
The Client may not reverse-engineer, copy, adapt, or publish any Plans or documentation without the prior written consent of the Company.
Both parties agree to keep confidential all information disclosed in connection with an engagement ("Confidential Information"), including but not limited to: project details, site location, pricing, client identity, and technical specifications.
Confidential Information may be disclosed only to professional advisers bound by equivalent duties of confidentiality, or where required by law.
This obligation survives the termination of the engagement for a period of ten (10) years.
The Company warrants that Plans are prepared to a professional standard by qualified engineers. The Company does not warrant that any structure built using its Plans will comply with the building codes, regulations, or requirements of any jurisdiction other than New Zealand.
The Company's liability for any claim arising from a Tier I engagement is limited to the fees paid for the relevant Plans. This limitation does not apply where liability cannot be excluded by law.
For Tier II and Tier III engagements, liability is governed by the project-specific Letter of Engagement and applicable New Zealand law, including the Building Act 2004 and Consumer Guarantees Act 1993 (where applicable).
The Company is not liable for any consequential, indirect, or economic loss arising from reliance on its services.
These Terms and all engagements are governed by the laws of New Zealand. Any dispute shall be subject to the exclusive jurisdiction of the New Zealand courts, except where the parties agree in writing to alternative dispute resolution.
If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
